Bruce Bedwell is a partner in Chapman's Corporate Finance Department. He joined the firm in 2013. 

Bruce’s practice focuses primarily in the area of project finance and development and includes the representation of institutional investors with the private placement of debt instruments, the representation of bank lenders and borrowers with acquisition, construction, bridge and term loan financings, and the representation of manufacturers, developers, and contractors with the construction, acquisition, and distribution of projects. 

Bruce’s experience in project assets includes renewable energy facilities (wind, solar, hydro, biomass), traditional energy facilities (natural gas, coal, combined-cycle, cogeneration), natural gas storage facilities, electricity transmission facilities, transportation facilities (roads, mass transit, rail, marine ports, airports, intermodal), water desalination facilities, solid waste and liquid waste solidification facilities, mixed-use developments, housing facilities, and other infrastructure assets.

Bruce has also represented clients with respect to several public-private partnership transactions, advised clients with respect to regulatory compliance matters, represented clients in administrative litigation, and regulatory proceedings before federal and state regulatory commissions, and represented clients with commercial litigation before federal courts.

Represented institutional investors in connection with the purchase of senior secured notes related to a biomass facility located in Georgia.

Represented borrower in connection with the refinancing of a bank facility related to a 100 MW wind farm located in Iowa.

Represented investors in connection with the issuance of $140 million aggregate principal amount of Senior Secured Notes related to the acquisition of nine hydroelectric facilities located in Maine, with a combined nameplate capacity of approximately 70MWs.

Represented investors in connection with the issuance of Guaranteed Senior Secured Notes and Floating Rate Guaranteed Senior Secured Note related to a water desalination facility located in Australia.

Represented investors in connection with the issuance of Senior Secured Notes related to a natural gas storage facility located in Alaska.

Represented infrastructure credit originator in connection with the development of a club-style infrastructure investment platform.

  • Acquisition financing for an approximately 3.26MW (dc) solar photovoltaic energy facility located in Arizona.
  • Acquisition financing for an approximately 5MW (ac) solar photovoltaic energy facility located in Pennsylvania.
  • Acquisition financing for an approximately 45MW wind generation facility located in Idaho.
  • Construction financing and subsequent term loan financing for an approximately 75MW wind generation facility located in Pennsylvania.

Represented developer in connection with the sale and leaseback and subsequent back leveraged financing of a 23.4MW wind farm in Puerto Rico, including the negotiation and documentation of a participation agreement, facility lease, depository agreement and guaranties.

Represented developer in connection with a potential equity investment and construction financing related to a 5MW (dc) solar photovoltaic energy facility located in North Carolina.

Represented wind turbine manufacturer in connection with the following financings, including the negotiation and documentation of financing documents:

  • Development financing related to the supply of up to 420MW of electric generation wind turbines to multiple planned projects located in the U.S., including the negotiation and documentation of a master development agreement and financing documents.
  • Seller financing and subsequent refinancing of an approximately 20MW wind generation facility located in Minnesota.
  • Seller financing of an approximately 240MW wind generation facility located in Illinois.

Represented owner in connection with a tax equity financing related to three biomass facilities located in California and New Hampshire, including legal diligence and the negotiation and documentation of a membership interest acquisition agreement.

Represented lender in connection with take-out and predevelopment/construction financing related to two apartment buildings located in Illinois.

Represented developer in connection with the potential financing of two solar photovoltaic projects located in Puerto Rico.

Represented owner in connection with the construction of a cogeneration facility at the owner’s manufacturing facility located in California, including the negotiation and documentation of a design, purchase and installation agreement.

Represented developer in connection with the construction of a wind generation facility located in Nova Scotia, including the documentation of a wind turbine erection agreement and a foundation construction agreement.

Represented wind turbine manufacturer (acting as general contractor) in connection with the construction of an approximately 32MW wind generation facility located in Nova Scotia, including the negotiation and documentation of an engineering, procurement and construction agreement and a balance of plant construction subcontract. 

Represented developer in connection with the development of several electric wind farms in Illinois, including counseling as to balance of plant construction agreements and sales and use tax exemptions.

Represented multiple developers in connection with the negotiation and documentation of power purchase agreements.  

Represented developer in connection with the preparation of an engineering, procurement and construction contract related to the construction of three solar photovoltaic energy facilities located in the Philippines.

Represented developer in connection with the legal review and risk analysis of an engineering, procurement and construction contract related to a coal-fired power project located in Vietnam.

Represented developer in connection with a natural gas sale and purchase agreement for an electric power generating facility to be constructed in the Philippines.

Represented port authority in connection with its proposed long-term concession and lease of a marine port facility located in Oregon, including the negotiation and documentation of a concession and lease agreement and the administration of a competitive bidding process.

Represented state government in connection with its proposed $12.8 billion long-term concession and lease of the Pennsylvania Turnpike located in Pennsylvania, including the negotiation and documentation of a concession and lease agreement and the administration of a competitive bidding process.

Represented shipping company in connection with various disputes related to a wind turbine component shipping contract.

Represented multiple power marketers and public utilities in connection with an array of administrative litigation and regulatory proceedings before the Federal Energy Regulatory Commission and state utility commissions.

Represented natural gas pipeline in connection with an adversarial litigation proceeding before the United States Bankruptcy Court for the District of Maryland involving breach of contract claims.

Represented wind turbine manufacturer in connection with multiple disputes with a customer related to alleged breaches of the manufacturer’s equipment warranty.

Represented developer in connection with international arbitration with its construction contractor related to multiple breach of contract claims involving the construction of a wind generation facility located in Nicaragua.

Represented wind turbine manufacturer in connection with a dispute with an equipment transportation contractor related to breach of contract claims.
