Jerry Parker is an associate in Chapman’s Asset Securitization Department. He joined the Firm in 2012.

He represents financial institutions in a range of publicly registered and privately placed structured finance and debt capital markets transactions. He has experience across a broad range of asset classes, including credit card receivables, automobile loans and leases, automobile floorplan financing loans, corporate debt repackaging, and trade receivables. 

Jerry also advises clients on regulatory and compliance matters, including ongoing and periodic reporting obligations under the Securities Exchange Act of 1934 and related rules and regulations.

Prior to joining Chapman, Jerry was a managing associate in the Global Finance Department at Orrick, Herrington & Sutcliffe LLP.

Representative Transactions

  • Issuer’s counsel on an SEC-registered credit card receivables securitization program, including maintaining and refreshing the program’s shelf registration statement on Form S-3
  • Underwriters’ counsel on an SEC-registered credit card receivables securitization program
  • Issuer’s counsel on an SEC-registered corporate debt repackaging program, including maintaining and refreshing the program’s shelf registration statement on Form S-3 and the program’s ongoing reporting obligations under the U.S. securities laws
  • Represented the administrative agent leading a syndicate of six financial institutions in a US$1.5 billion financing facility backed by oil and gas receivables
  • Represented the U.S. branch of a Japanese bank as administrative agent leading a syndicate of six financial institutions in a US$1.3 billion financing facility backed by oil and gas receivables
