Overview

Nicole Windsor is a partner in Chapman’s Corporate Finance Department. Nicole’s practice includes the representation of financial institutions and institutional investors in connection with direct placements of debt in secured and unsecured financings. Issuers in Nicole’s practice come from many different markets including real estate, public utilities, sports finance, project finance, and general corporate financings. Nicole’s practice includes both domestic and international transactions including recent transactions in which debt was issued by entities from the United Kingdom, Netherlands, Spain, Australia, Canada, Germany, Ireland, Japan, and France. Additionally, Nicole regularly represents investors including entities from the United States, Canada, Ireland, Australia, and the United Kingdom. 

Nicole also serves as co-editor for the American College of Investment Counsel’s monthly publication Private Notes.

Representative Matters

  • Represented institutional investors in sports league and team financings, including:
    • The purchase of over $600 million of notes for certain teams in the National Hockey League in a bankruptcy remote structured financing backed by league-wide revenues as well as representing investors in the first placement of $500 million supported by certain league-wide revenues as well as the Commissioner’s ability to assess teams
    • The purchase of over $400 million in trust certificates backed by both NFL league-wide revenues as well as a series of note issuances of almost $700 million issued under NFL G3/G4 programs created to help teams finance new stadiums as well as stadium improvements
    • Represented institutional investors in purchasing in excess of $450 million senior term notes of the Major League Baseball Trust as part of a structured finance program established by Major League Baseball to facilitate the financing of member clubs
  • Represented institutional investors in private placement transactions totaling over $5 billion of senior notes issued to major real estate development companies around the United States
  • Represented institutional investors in a series of private placements of senior secured notes aggregating $1.25 billion which were issued by a domestic entity with an Australian parent guarantor that has global operations
  • Represented investors in the placement of over 80 Billion Yen to an international issuer with foreign guarantors located around the world
  • Represented investors in the placement of over $400 million of first mortgage bonds invested in a major energy utility company secured by a first lien mortgage
  • Represented investors of Euro and Dollar denominated notes in the original placement of notes of an international medical device manufacturer as well as during a reorganization of the Issuer and its foreign subsidiaries and amendment of underlying agreements
  • Represented an investor in the direct placement of over $200 million in a series of senior notes with a prominent food, beverage and fuel distributor in the United States
  • Represented investors in the placement of over $150 million invested in an English social housing project
  • Represented investors in the issuance of $200 million of senior notes by a Spanish media company
