Xanthe Larsen is a partner in Chapman and Cutler’s Asset Securitization Department.

Xanthe represents a wide range of institutions and companies in structured finance transactions, focusing her practice on energy development, alternative energy solutions, domestic and international project finance, and infrastructure development financings. She also has extensive experience with mergers, acquisitions, and other corporate transactions in the electric and renewable energy, oil and gas, mining and project development industries and general corporate transactions both in the United States and abroad.

Prior to joining Chapman in 2015, Xanthe worked as a partner at Akin Gump LLP and then Locke Lord LLP.

Representative Transactions

Xanthe's prior experience includes the representation of clients in the following matters:

  • $1.3 billion sale and leaseback of a 779 MW coal-fired generating facility for a U.S. public company, including related 144A offering
  • Financing of a $750 million cold water port terminal for the storage of crude oil in Russia, which involved U.S. Overseas Private Investment Corporation (OPIC) financing
  • Financing and construction of a $900 million upgrade of an oil refinery in Morocco involving SACE, the African Development Bank, Proparco, international commercial lending institutions, Moroccan lending institutions and hedge providers
  • Development and financing of a refinery for transforming waste oil into usable lubricants
  • Fund investment and financing of volumetric production payments involving U.S. hydrocarbon properties
  • Structured the collateral package to backstop BP’s $20 billion obligation with respect to the Deepwater Horizon oil spill
  • Project development and financing of a major copper and cobalt mining project in central Africa
  • Financial restructuring of a major electric energy project in Argentina after devaluation of the Argentine peso
  • Financial restructuring of a major power project in Colombia, including the renegotiation of  loans held by OPIC and the U.S. Export Import Bank (Ex-Im)
  • Preparation of RFQs, RFPs and bid requests for infrastructure development, including pipeline, airport, port, toll road, intermodal and refinery assets (including P3 structures)
  • Negotiations of governmental concessions for infrastructure development
  • Sale-leaseback unwinds for nuclear and traditional power generation assets
  • Project development, including bridge financing and take-outs, for U.S. utility scale solar photovoltaic (PV) projects
  • Merger and acquisition work for U.S. public and private companies including due diligence, agreement preparation and negotiation, SEC filings and preparation of information for, and strategic advice to, boards of directors
  • Corporate and transactional counsel to leading privately funded education loan program and services company
  • Disposition of foreign companies and assets for U.S. public companies
  • Acquisitions and dispositions for an international construction and project development company
  • Corporate and transactional counsel to U.S. gaming and entertainment corporation for transactions and matters involving financings, employment (including executive employment matters), project development, contracting, legislative matters and board advisement
  • Acquisitions and dispositions for an international construction and project development company
  • Chief legal advisor to private equity fund focused on clean technologies investment
  • Acquisition of nuclear generating facilities and supply chain assets for a U.S. public energy company
  • Strategic advice to an international hospitality services vendor
  • Chief legal advisor to developer of commercial space travel technologies in connection with joint venture and governmental partnering arrangements
  • Project development and financing of a telecommunications project in Pakistan
  • Oversaw regional labor and employment matters as in-house counsel, including litigation, investigations, union matters and management of labor relations staff and external labor counsel for a U.S. public company
