Chapman and Cutler's broad experience in student loan securitizations includes representing issuers, sellers, purchasers, lenders, underwriters, and trustees in FFELP student loan and private student loan securitization transactions. Our clients include some of the largest lenders and securitizers of U.S. government-guaranteed student loans and private education credit products active in the market today. Our attorneys have assisted clients with term securitization in the public, 144A, and private placement markets, as well as bilateral and syndicated revolving warehouse securitization structures. Chapman also acted as counsel to the manager of Straight A Funding LLC, a U.S. government-sponsored commercial paper conduit that was established to finance FFRLP loans during the financial crisis.

Our attorneys were among the first to structure capital markets-based financing solutions for peer-to-peer education finance platform sponsors. In addition, we regularly represent investors in bidding on, negotiating and acquiring portfolios of student loans and have assisted sellers of portfolios of student loans in the bidding process.

Our experience also includes numerous deals in the tax-exempt student loan revenue bond area, including serving as bond counsel to issuing governmental authorities and as counsel to credit enhancers and liquidity providers.
