Overview

Kelly Pendergast Carr is a partner and member of Chapman's Corporate and Securities Department and Investment Management Group. She focuses her practice on representing registered investment companies, including mutual funds, closed-end funds, interval funds and exchange-traded funds (ETFs), as well as their independent directors and investment advisers. She counsels clients on a wide range of transactional, regulatory, compliance and governance matters at all stages of fund formation and operation.

She has extensive experience helping clients navigate the regulatory responsibilities surrounding registered investment companies, with a focus on the impact of new and changing regulations on fund disclosure documents, operations and governance. Kelly also regularly counsels fund boards of directors on their unique duties and responsibilities relative to fund oversight.

Kelly started her legal career at Chapman. She rejoined Chapman after practicing with other Am Law firms.
