Overview

Chapman is one of the preeminent law firms in the nation in the field of municipal disclosure. We served as disclosure counsel on more bond issues than any other law firm in 2015, handling 242 long‑term municipal new issues, with an aggregate par amount of more than $3.4 billion.

Chapman takes seriously the obligation of issuers to make accurate and complete disclosures to the marketplace. In 2010, Chapman established a partner‑level committee, referred to as the Public Finance Disclosure Committee, charged with drafting standard disclosure language for opinions, offering documents and continuing disclosure undertakings, educating Chapman’s public finance attorneys on various aspects of securities law and advising our attorneys on securities law questions that arise within particular transactions.

Chapman and our Public Finance Disclosure Committee have been actively engaged with industry groups with respect to ongoing disclosure matters, including matters relating to Rule 15c2‑12 and the SEC’s Municipal Continuing Disclosure Cooperation Initiative.
