Among the business transactions and activities in which we are most actively engaged are mergers, acquisitions, divestitures, joint ventures, strategic alliances and other business combinations.

We serve a wide range of clients, both publicly and privately held, including financial services institutions, such as financial holding companies, banks and bank holding companies, investment advisors, insurance companies, manufacturers, distributors, wholesalers, retailers, utilities, contractors, transportation companies, professional service providers, pension funds and not-for-profit entities.

Included in the full range of services the General Corporate Group offers its public company clients is providing compliance advice respecting the Sarbanes-Oxley Act as well as SEC, NYSE, AMEX and NASDAQ rules and regulations. The General Corporate Group also works with its public company clients to develop and implement their employee benefit plans and anti-takeover strategies.

We provide general representation to corporations, limited liability companies, partnerships, joint ventures, associations, not-for-profit entities and individuals, and are called upon to draft and negotiate all types of business agreements. Additionally, we are experienced in drafting stock purchase, asset purchase and merger, partnership, shareholder, buy-sell and voting agreements.

We regularly prepare employment, employee benefit and consulting agreements as well as real estate and personal property sale and lease agreements. We also have in-depth experience with product purchase, sale and manufacturing agreements and contracts covering joint ventures, licensing, distribution, sales representatives and suppliers.

Our attorneys are frequently called upon to draft confidentiality, non-compete and non-disclosure agreements.

The General Corporate Group acts as counsel to domestic and non-U.S. clients in various business transactions.

    On February 22, 2023, the New York Stock Exchange (“NYSE”) proposed the adoption of new listing standards contained in the Corporate Governance section of the NYSE Listed Company Manual (the “Manual”). New Section 303A.14 would “require issuers to develop and implement a policy providing for the recovery of erroneously awarded incentive-based compensation received by current or former executive officers.”
