Chapman and Cutler LLP is pleased to announce that Christian Brockman has joined the firm's Corporate and Securities Department and Investment Management Group as a partner in the San Francisco office. Christian brings a unique commercial perspective from his experience as general counsel to guide private fund sponsors and institutional investors through their most complex transactional and regulatory matters, with a particular focus on the digital asset and cryptocurrency ecosystem.
Christian counsels clients throughout the full life cycle of private funds, including fund formation, operations, and regulatory compliance. He has extensive experience structuring and launching a wide variety of investment vehicles, including venture capital, hedge, real estate, and GP stakes funds. He advises on all aspects of a fund’s operational and disclosure documents, from private placement memoranda and limited partnership agreements to side letters and investment management agreements.
A leader at the intersection of finance and technology, Christian is a go-to adviser for clients navigating the novel legal and business challenges of digital assets, cryptocurrency, and blockchain technology. He provides strategic counsel on venture and crypto investments (including SAFEs and token warrants), trading and custody relationships, and the evolving regulatory landscape.
Prior to joining Chapman, Christian was General Counsel for ParaFi Capital, a leading crypto-focused investment manager, and its affiliated blockchain technology company, ParaFi Technologies. In this role, he built and led the legal and compliance function, served as a key strategic adviser to the business on product launches and branding, and managed all legal aspects of the firm’s venture and hedge fund portfolios. This in-house experience provides him with a deep understanding of the business drivers and operational realities his clients face every day.
