Overview

Asaf Reindel is a partner and member of Chapman’s Corporate and Securities Group, Special Situations and Restructuring Group, and Israel Practice. Asaf’s practice focuses on corporate, M&A, equity and debt financing, and representing US and international companies in complex acquisitions, joint ventures, and investment transactions. He regularly advises hedge funds and other investment funds on strategic investment transactions, portfolio company matters, and a wide range of other corporate matters. He also advises early-stage and mature companies across diverse industries on equity investments, debt transactions, mergers and acquisitions, commercial agreements, employment matters, and day-to-day operational matters. Asaf’s work includes guiding Israel-based technology and other companies in their US business activities, as well as representing US individuals and entities in cross-border transactions in Israel. Additionally, Asaf counsels family offices and high-net-worth individuals on investment matters.

Asaf also advises senior executives and portfolio managers as well as employers on employment and separation arrangements.

Prior to joining Chapman, Asaf practiced law with a New York-based law firm.

Mergers and Acquisitions
  • Representation of a satellite company in connection with a transaction to go public through a merger with a special purpose acquisition company (SPAC), and in connection with a related investment by a private equity firm. Additionally, Asaf represented the company as outside corporate counsel in connection with prior debt and equity financings and other strategic transactions as well as general corporate matters.
  • Representation as US counsel of an Israel-based provider of business continuity solutions in connection with its sale to Amazon.
  • Representation of a litigation funding company in two joint venture transactions with an investment fund and related financing arrangements.
  • Representation of a technology company and its shareholders in connection with its sale to a publicly traded company.
Debt and Equity Financing
  • Representation of an early-stage home products company in connection with its Series A investment round.
  • Representation of a 50% joint venture partner in connection with two major asset-based loans received by the joint venture, as a borrower.
  • Representation of a hedge fund, as junior lender, in connection with an asset-based loan to a private company.
  • Representation of an early-stage company in the healthcare industry in connection with its seed investment round.
  • Representation of a hedge fund, as lender, in connection with loans for litigation funding purposes.

  • Representation of a UK-based family office in connection with its investments in US private equity funds and with its lead investment in a US venture capital fund.
  • Representation of a major private equity fund in connection with a substantial number of investments and exit transactions in the People's Republic of China.
  • Representation of an India-based investment fund, as US counsel, in connection with a $20 million venture capital investment related to the restructuring of a US technology company with an India-based subsidiary.
  • Representation of a founder of an online lifestyle company in connection with a major investment in the company.

  • Representation of multiple portfolio managers and other senior employees in connection with employment by, and departure from, various hedge funds.
  • Representation of the Chief Executive Officer of an Internet infrastructure company in connection with his employment, and in connection with his earlier departure from a telecommunications company.
  • Representation of a hedge fund manager in connection with the transfer of his fund to a major hedge fund and the related portfolio manager employment arrangement.
  • Representation of a Chief Financial Officer in connection with the separation from a late-stage startup company and an employment arrangement with another late-stage startup company.
