Perspectives on Final Rules Implementing Regulation AB II

September 10, 2014

In August 2014, the SEC adopted final rules under Regulation AB that substantially revise the offering process, disclosure and reporting requirements for offerings of ABS. More than four years after the SEC originally published its comprehensive "Regulation AB II" rule proposals, and after two partial re-proposals in 2011 and 2014, the final rules implement several key areas of reform but defer action on other significant aspects of the original proposals.

On September 10, Chapman and Cutler hosted a regulatory update program regarding the recently adopted final rules implementing Regulation AB II and the Liquidity Coverage Ratio. The presentations focused on those elements of the final rules that will have the greatest impact on the securitization market. In discussions regarding Regulation AB, our attorneys were joined by Paula Dubberly, former Deputy Director of the Division of Corporation Finance at the SEC. Prior to her retirement from the SEC, Ms. Dubberly was instrumental in developing the first comprehensive set of disclosure and reporting rules for the asset-backed securities market.
